Article 56 section 1 item 2 of the Public Offering Act – current and periodic information

 

The Management Board of TAURON Polska Energia S.A. (“Issuer”) informs that on 9 January 2012 a copy of the decision of District Court for Kraków-Śródmieście in Kraków, 12th Commercial Division of the National Court Register (“Court”) dated 30 December 2011 was submitted to the head office of Ośrodek Szkoleniowo-Wypoczynkowy Rożnów Sp. z o.o. with its registered office in Rożnów (“OSW Rożnów”, indirect subsidiary of TAURON Polska Energia S.A. through Zespół Elektrowni Wodnych Rożnów Sp. z o.o.), pursuant to which the opening of liquidation procedure of OSW Rożnów was registered by the Court. Mr. Stanisław Mazurkiewicz, formerly the President of the Management Board at OSW Rożnów was appointed as the liquidator. The decision on liquidation of OSW Rożnów was taken for financial reasons and is in line with TAURON Group’s Corporate Strategy which envisions liquidation of non-core businesses, i.e. such that are not the key operations for the TAURON Group. OSW Rożnów generated annual sales revenue of approx. PLN several hundred thousand and its results were not consolidated in consolidated financial statements of the TAURON Polska Energia S.A. Capital Group (approx. 0.004% of consolidated income for 2010). The liquidation was registered in the register of entrepreneurs based on application dated 20 December 2011 and took place on 2 January 2012.

 

§ 5 section  1 item 24 in connection with § 30 item 18 of the Decree of the Ministry of Finance dated 19 February 2009 regarding current and periodic information disclosed by issuers of securities and conditions for recognizing as equivalent the information required under the laws of non-member states (Journal of Laws of 2009, No. 33, item 259 as amended)
